Section 5
Board of Directors
(1) The Board shall have a Board of Directors to carry out the work to be done on behalf of the Board.
(2) The composition of the Board of Directors will be as follows:- (a) Minister or Minister of State in charge of Railways of the Government of Nepal - Chairman (b) Secretary of the Ministry - Member (c) Secretary or Joint Secretary designated by him, Ministry of Finance - Member (d) Secretary or Joint Secretary, Ministry of Home Affairs appointed by him - Member (e) Two persons, including at least one woman, nominated by the Ministry from among those who have obtained at least Master's degree in Chartered Accountant, Commerce, Management or Transport Management from a recognized educational institution and have at least five years of experience in the relevant field - Member ( f) Two members, including at least one woman, nominated by the Ministry from among those who have passed at least Master's degree in Civil or Electrical or Mechanical Engineering from a recognized educational institution and have at least five years of experience in the relevant field "Member (g) Railway Administrator - Member-Secretary (3) Any of the following A person who is eligible to be nominated as a member under clauses (e) and (f) of sub-section (2) is "None: -
(a) Non-Nepali citizens,
(b) not having completed twenty-five years of age,
(c) Being blacklisted according to prevailing laws, if they fail to pay the dues of banks and financial institutions (d) corruption, extortion, human trafficking and trafficking, sale, distribution and trafficking of narcotics, property; Convicted of extortion, misappropriation of passport, kidnapping or criminal offense of moral turpitude or sentenced to imprisonment of three years or more for any other criminal offence, such judgment being final,
(e) has obtained a permanent residence permit of a foreign country, or
(f) Holding any position of profit. Explanation: For the purpose of this section, "post of profit" means a post receiving remuneration or benefits from Government funds.
(4) The term of office of the member nominated in accordance with clauses (e) and (f) of sub-section (2) shall be four years.
(5) Whatever is written in sub-section (4).However, the Ministry may at any time remove the nominated member from the post in accordance with clauses (e) and (f) of sub-section (2) in the following cases:-
(a) Failure to fulfill his official duties,
(b) if any act is done against the interest of the Board,
(c) engages in misconduct, or
(d) If he lacks working capacity.
(6) Before any member is removed from office in accordance with sub-section (5), he shall be given a reasonable opportunity to present his justification.
(7) The post of nominated member as per clause (e) and (f) of sub-section (2) shall be vacant in the following cases:-
(a) If he resigns from his office,
(b) on completion of his term of office,
(c) If he is disqualified under sub-section (3),
(d) if he is removed as a member in accordance with sub-section (5), or
(e) in case of his death.
